Cambodia Business Registration Policy: Online Annual Declarations and Penalty Waiver

Background

The Ministry of Commerce administers the national business registration system through the Department of Business Registration, which manages company filings and annual declaration records.

The Ministry has implemented an online filing system enabling registered companies to submit annual declarations electronically. The Ministry maintains a policy of temporary penalty waivers for companies that miss annual declaration deadlines to ease compliance burdens during the transition to digital services. On 8 October 2026 Secretary of State Buon Sarakmony represented Minister Cham Nimul to preside over a dissemination workshop on updates to business registration modernization; participants included the Cambodia Chamber of Commerce, municipal and provincial chambers, business associations, business registration agents, and technical officials from the Department of Business Registration.

Scope of Application

The measures and guidance discussed apply to companies registered under the national business registration framework that are required to submit annual declarations, as well as to business registration agents and subnational chambers of commerce involved in assisting filings and outreach.

Key Provisions or Decisions

The Ministry emphasized two operational elements: the use of an online system for annual declaration filing and the continuation of penalty waivers for companies that failed to file on time. The workshop served as a dissemination and stakeholder engagement forum to explain procedural updates and support the rollout of the online declaration process across provinces and business intermediaries.

Implications for Investors, Businesses, or Compliance

Wider adoption of electronic annual declaration filing is intended to reduce administrative friction for registered companies and intermediaries by enabling remote submission and recordkeeping. Continued penalty waivers during the modernization period may reduce short-term compliance costs for companies that must adapt internal processes to the online system, while increasing the importance of systems and training for business registration agents and company compliance teams.
