Build a Business Advisory Practice with DG Consulting

DG Consulting is a Cambodia-based advisory platform supporting overseas investors with market entry, company establishment, financial and tax advisory, and operational support. We combine international professional networks with local expertise to help clients establish and grow their businesses.

We are seeking an experienced Vietnamese partner to jointly establish and develop a business consulting company in Vietnam, initially serving Chinese businesses and Chinese-speaking investors.

Who We Are Looking For

The prospective partner must:

  • Have at least 10 years of relevant experience in legal affairs, finance, or taxation, with substantial practical expertise in Vietnam.
  • Be able to use English as a working language, including conducting meetings, discussing technical matters, reviewing business documents, and handling written correspondence. This is an essential requirement.
  • Have experience advising corporate clients, managing projects, or leading professional teams.
  • Be willing to actively participate in establishing and managing the business.
  • Demonstrate professional integrity and a commitment to transparent financial and operational management.

Mandarin proficiency and experience serving Chinese clients would be advantages, but are not substitutes for the English-language requirement.

We welcome experienced professionals and owners or senior leaders of established local professional service firms.

Preliminary Cooperation Plan

1. Company and Brand

We propose jointly establishing a business consulting company in Vietnam under the name DG Consulting, or another name approved by the competent Vietnamese authorities. The company structure, registered business activities, and necessary professional qualifications or licences will be determined during the preparation stage.

2. Shareholding and Contributions

The Vietnamese partner or partners will collectively hold more than 50% of the company’s equity, with the remaining equity held by the DG side.

The precise shareholding percentages, capital commitments, and contribution arrangements will be negotiated based on each party’s responsibilities, resources, and agreed investment.

3. Initial Target Market and Services

The initial focus will be Chinese companies and Chinese-speaking clients investing or operating in Vietnam. Proposed services include:

  • Market entry planning and company establishment support;
  • Business compliance and coordination of legal and contractual matters (in cooperation with Vietnamese law firms);
  • Financial management, tax advisory, and filing coordination;
  • Human resources and employment-related support;
  • Ongoing business administration and operational assistance.

Services requiring specific licences or professional qualifications will be delivered by appropriately authorised entities or professionals.

4. Business Development and Local Delivery

The DG side plans to assign personnel from China to Vietnam to develop clients, build referral channels, manage Chinese-language communications, and maintain client relationships.

The Vietnamese partner will lead local implementation, professional service delivery, recruitment and management of the local team, and coordination with relevant authorities and service providers.

Both parties will jointly establish service standards, pricing procedures, and client management processes. English will be the working language for collaboration between the partners.

5. Financial and Personnel Management

While the Vietnamese partner will hold a majority equity interest, meaningful participation by the DG side in financial and personnel management is a core condition of the partnership.

The proposed arrangements include:

  • Participation in approving annual budgets, major expenditure, and profit distributions;
  • Access to company accounts, bank statements, contracts, and financial reports;
  • Joint approval of payments exceeding agreed thresholds;
  • Participation in the appointment, remuneration, and removal of key management personnel and the person responsible for finance;
  • Participation in setting staffing plans, remuneration policies, and performance management procedures.

These rights, approval thresholds, and decision-making procedures will be documented in the company’s constitutional documents, shareholders’ agreement, and internal policies, as appropriate under applicable law.

6. Phased Implementation

The parties will first discuss their professional backgrounds, available resources, and expectations. They will then agree on the business scope, ownership structure, initial budget, responsibilities, and governance arrangements.

Following completion of the necessary establishment and licensing procedures, the business will launch with a lean team and expand in line with client demand and service delivery capacity.
