Cambodia Digital Assets Regulation: Inter-ministerial Working Group Advances Draft Law

Background

The Securities and Exchange Regulator of Cambodia (SERC) and the National Bank of Cambodia (NBC) co-chaired an inter-ministerial working group responsible for preparing a draft law on governance of virtual and digital assets. ADB experts prepared a working plan and an inception report to support drafting the proposed law.

The working group held its second meeting at SERC headquarters to review the ADB-prepared documents, examine the draft legal text on governance of virtual/digital assets and related codes of conduct, and to set directions for subsequent drafting and consultation phases. Participants included senior officials from SERC, NBC, the Ministry of Economy and Finance, and the Ministry of Justice, reflecting an inter-agency approach to regulatory design for digital asset markets.

Scope of Application

The draft law under preparation covers governance of virtual and digital assets and associated ethical or conduct instruments referenced during the meeting. The working group discussions focused on the overall structure of the legal instrument, the working plan for completing drafting tasks, and timelines for consultation and review.

Key Provisions or Decisions

At the second meeting the working group reviewed and discussed three principal items: the ADB-prepared working plan, the inception report, and the draft legal text on governance of virtual/digital assets. Meeting participants also discussed and agreed on the next directions for the group’s work program, including further drafting and coordination among agencies.

Implications for Investors, Businesses, or Compliance

A formal law on governance of virtual and digital assets would establish a statutory framework that market participants and regulators must reference during compliance and operational planning once the law is enacted. The inter-ministerial drafting process indicates that the eventual legal framework is being developed with inputs from financial, supervisory, and justice-sector bodies, which may affect licensing, market conduct, and consumer protection arrangements in digital asset services.
