Cambodia Securities Regulation: Draft ETF Issuance Guidelines for Collective Investment Schemes

Background

The Securities and Exchange Regulator of Cambodia (SERC) develops regulatory guidance for the issuance and supervision of collective investment schemes and exchange-traded funds.

Draft guidelines on issuance of exchange-traded fund (ETF) units define procedural steps and allocate responsibilities among licensed fund managers, trustees, exchanges, distributors, and central counterparties within the Cambodian securities framework.

Regulatory guidance in this area establishes how market actors coordinate during issuance, listing and secondary trading of ETF units and interacts with the supervisory remit of related authorities such as the Non-Bank Financial Services Authority (FSA) and the Cambodian Securities Exchange.

Scope of Application

The draft guidelines under discussion apply to the issuance of units of exchange-traded funds established as collective investment schemes and to the licensed market participants involved in such issuance processes, including fund management companies, trustees, distributors, securities firms, the Cambodian Securities Exchange and central counterparties.

Key Provisions or Decisions

On 12 August 2026, SERC officials led a stakeholder meeting to review a draft titled “Issuance of Units Of Exchange-Traded Funds (ETF) of Collective Investment Schemes.” Representatives from the General Secretariat of the Non-Bank Financial Services Authority (FSA), the Cambodian Securities Exchange, fund management companies, distributors, trustees, securities firms, investment advisers, central counterparty and other industry stakeholders participated in the discussions.

The discussion focused on the draft framework for ETF unit issuance procedures and coordination among the regulators and market intermediaries; no final regulatory instrument was announced at the meeting.

Implications for Investors, Businesses, or Compliance

The draft guidelines are described as covering issuance procedures and the responsibilities of market participants for exchange-traded fund units issued by collective investment schemes. When finalized and promulgated by SERC, the guidelines would serve as a formal reference for market participants on operational roles and documentation requirements related to ETF issuance and distribution.
