Background
The Securities and Exchange Regulator of Cambodia (SERC) issues and oversees licenses for fund management companies that operate collective investment schemes in Cambodia’s securities market.
SERC removed the fund management company license of Amara Capital Plc., effective 31 July 2026, covering public collective investment schemes, real estate investment trusts, technology-enabled funds, and crowdfunding intermediary activities, and it temporarily suspended the company’s private fund management operations at its registered headquarters; both actions were taken at the company’s request.
Scope of Application
The regulatory decision applies specifically to Amara Capital Plc. and the following licensed activities as recorded by SERC:
- Establishment and management of public funds under collective investment schemes;
- Establishment and management of real estate investment trusts (REITs) within collective investment schemes;
- Establishment and management of public and/or private funds of collective investment schemes conducted via technological systems;
- Crowdfunding services functioning as an intermediary between securities-offering companies and investors.
The temporary suspension covers the company’s activity in establishing and managing private collective investment funds at its registered address: Building No. 113C, Mao Tse Tung Blvd., Phum 7, Sangkat Toul Svay Prey 1, Khan Boeng Keng Kang, Phnom Penh.
Key Provisions or Decisions
According to the SERC notice, the fund management company license for Amara Capital Plc. was revoked with effect from 31 July 2026. The regulator also recorded a temporary suspension of the company’s private fund management business at the firm’s registered headquarters. Both the revocation and the suspension are recorded as actions taken following requests submitted by the company.
Implications for Investors, Businesses, or Compliance
The removal of a fund management company license terminates the company’s regulatory authorisation to carry out the specified fund-management and crowdfunding activities listed in SERC’s decision. Market participants and investors are advised to verify the licensing status of fund managers and crowdfunding intermediaries through SERC’s public registers before engaging in fund subscriptions or related transactions.
