Cambodia Securities Regulation: SERC Reviews IPO and Public Bond Filings

Background

The Securities and Exchange Regulator of Cambodia (SERC) convenes council sessions to examine documentation for proposed public offerings and to advise on compliance with Cambodia’s capital markets requirements. The regulator’s council evaluates prospectuses, bond terms, and related disclosure materials as part of the statutory review process.

Public equity listings and public bond issuances in Cambodia must be submitted to SERC for examination and council consideration before any public subscription is permitted. SERC’s review process addresses concrete elements such as offering size, nominal value, coupon schedule, and maturity to determine whether filings meet disclosure and documentation standards.

Scope of Application

The council meeting on 9 June 2026 addressed applications submitted for public distribution of securities under Cambodia’s securities rules. The agenda included five items, two of which were requests forwarded by the Cambodian securities depository (N.M.K.) for formal examination by the SERC council.

Key Provisions or Decisions

At the 29th SERC council meeting (session 1), presided over by Deputy Prime Minister Aun Pornmoniroth, the council considered two filings submitted for review:

  • An initial public offering filing from Borey Vimean Samnang (បុរី វិមានសំណាង) for 33,500,000 ordinary shares priced at 1,200 riel (approximately USD 0.30) per share, representing a total offering size of 40.2 billion riel (approximately USD 10.05 million).
  • A public bond issuance filing from the microfinance institution LOLC (Cambodia) PLC for 2,000,000 bonds with a face value of 100,000 riel each, totaling 200 billion riel (approximately USD 50 million), featuring semiannual coupon payments and a five-year tenor.

SERC considered these submissions in the context of its formal review remit; the council session treated the filings as documents for examination rather than as final market approvals.

Implications for Investors, Businesses, or Compliance

Firms proposing public offerings in Cambodia must prepare offering documentation that meets SERC’s disclosure standards and reflect clear terms for investors, including nominal value, coupon schedule, and maturity where applicable. Market participants preparing similar filings should ensure prospectuses and bond documentation comprehensively disclose financial terms, risk factors, and planned use of proceeds to satisfy SERC examination requirements.
