Cambodia Securities Regulation: SERC Warns Public About Unlicensed Investment Solicitation

Background

The Securities and Exchange Regulator of Cambodia (SERC) is the authority responsible for supervising Cambodia’s securities sector, including licensing and oversight of regulated market activities. Public solicitation for investment in securities-related activities in Cambodia falls within a regulated framework and requires authorization from the competent regulator.

Regulatory alerts about unlicensed investment activity are part of market oversight and investor protection. Impersonation of regulators or use of officials’ identities in messaging channels can be a warning sign of fraud designed to induce members of the public to transfer funds outside licensed channels.

Key Developments

On 10 April 2026, the Securities and Exchange Regulator of Cambodia issued SERC Alert No. 10/26. The alert stated that the companies or individuals soliciting the public to place investment funds, as identified in the notice, did not hold a license to conduct business in Cambodia’s securities sector.

The regulator also stated that the image of H.E. Seang Thirith, Deputy Director General of the Securities and Exchange Regulator of Cambodia, had been used to create a fake Telegram group with dishonest intent. According to the notice, the purpose of the group was to attract and deceive members of the public into investing money in a fraudulent scheme.

The notice also directed the public to SERC’s Telegram channel for updated information and knowledge related to the securities sector.

Implications

The alert provides a compliance and investor-protection reference point by confirming that the named investment solicitation was not licensed under Cambodia’s securities regulatory system. It also indicates that members of the public and market participants should verify whether an entity is authorized before transferring funds for securities-related investment offers.

For businesses and intermediaries, the notice underscores the regulatory importance of licensed status, official communication channels, and identity verification in public-facing investment activity. For investors, the warning highlights the risks associated with Telegram-based solicitations and offers that rely on impersonation of public officials.
